Establishing a Vietnamese Enterprise – Updated Regulations under the Law on Enterprises 2020 (as amended and supplemented in 2025)

On June 17, 2025, the National Assembly promulgated Law No. 76/2025/QH15, amending and supplementing several articles of Law No. 59/2020/QH14 on Enterprises (hereinafter referred to as the “Law on Enterprises 2020 (as amended and supplemented in 2025)”), marking a significant step in improving the legal framework for business operations in Vietnam. With several new provisions aimed at enhancing transparency and simplifying administrative procedures, company establishment is now more convenient and efficient. This article provides an updated overview of the conditions, procedures, and key highlights in registering an enterprise under the new legal framework.

Legal Basis:

(i) Law on Enterprises promulgated by the National Assembly on June 17, 2020;
(ii) Law No. 76/2025/QH15 amending and supplementing several articles of Law No. 59/2020/QH14, promulgated by the National Assembly on June 17, 2025.

1. Eligibility Requirements for Founders:

Individuals must be at least 18 years old and have full legal capacity.
Organizations must have legal entity status under applicable laws.
Not falling within the categories prohibited from establishing or managing enterprises.
2. Requirements for Company Headquarters:

The head office must be located within the territory of Vietnam and serve as the official contact address of the enterprise. It must be identifiable based on administrative boundaries and should have a phone number, fax number, and email address (if any).

3. Business Lines:

Enterprises are free to conduct business in any line not prohibited by law.
For conditional business lines, enterprises must fully meet all specific legal requirements before conducting such business.
4. Procedures for Establishing an Enterprise:

Step 1: Prepare application dossier

Depending on the type of enterprise, the application typically includes:

Application for enterprise registration
Company charter
List of members/beneficial owners (if applicable) for partnerships and multi-member LLCs; list of founding shareholders, foreign investors, and beneficial owners (if any) for joint stock companies
Legal documents of individual founders or legal entities
Step 2: Submit application

Submit the dossier online via the National Business Registration Portal to the Business Registration Office of the Department of Planning and Investment of the province/city where the company is located.

Step 3: Receive results

Within 03 working days, if the application is valid, the enterprise will be granted the Enterprise Registration Certificate.

Step 4: Company seal and information disclosure

Make the company seal and publish information about company establishment on the National Business Registration Portal.

Step 5: Open bank account, declare initial taxes, and purchase digital signature

Step 6: Register electronic identification (e-ID) for the enterprise
